I. Introduction & Acceptance

These Terms & Conditions ("Terms") form a legally binding agreement between you and DELTRIX TECHNOLOGIES LLP ("we", "us", "our", or "GritPlay"), a limited liability partnership registered in Ahmedabad, Gujarat, India, operating under the brand name GritPlay through the website https://gritplay.in ("Platform"). GritPlay is an academy management platform for sports academies, coaches, students, and players.

By accessing or using the Platform — whether as an academy owner, coach, or as a student/parent registering through the Student Portal, viewing your batch and attendance, or paying a monthly fee — you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, please discontinue use of the Platform immediately.

II. Definitions

• "Platform" — the GritPlay website and Student Portal at https://gritplay.in, including all pages, features, and services offered therein.
• "Academy" / "Academy Owner" — a sports academy or its owner who has subscribed to GritPlay's academy management software to run batches, track students, and collect fees.
• "Coach" — a member of academy staff granted access to view or manage batches, attendance, and student records on the Academy Owner's behalf.
• "Student" / "Player" — an individual enrolled in one or more batches at an Academy. Where the Student is a minor, "you" also refers to their parent or legal guardian acting on their behalf.
• "Batch" — a scheduled coaching group or session that a Student is enrolled into.
• "Monthly Fee" — the recurring amount payable by a Student for enrollment in a Batch, as set by the Academy.
• "OTP" — a one-time passcode sent via WhatsApp, used to verify a Student's identity at registration, login, and password reset.
• "Processing Fee" — a payment processing fee of approximately 3% of the amount paid per transaction, charged by Cashfree (our payment gateway). This fee is not an additional charge on top of the fee amount; it is deducted from the amount collected, and is non-refundable under all circumstances.
• "Services" — the academy management SaaS software provided to Academy Owners and Coaches, and the Student Portal provided to Students and parents/guardians.

III. Eligibility

Academy Owners and Coaches must be at least 18 years of age and legally capable of entering into a binding contract under applicable Indian law to use this Platform.

Students may be minors. Where a Student is under 18, registration on the Student Portal, acceptance of these Terms, and any payment must be carried out by, or with the knowledge and consent of, a parent or legal guardian, who shall be responsible for compliance with these Terms on the Student's behalf.

IV. Description of Services

GritPlay provides two distinct services:

1. Academy Management SaaS: GritPlay provides Academy Owners and Coaches with software tools to manage batches, coaches, students, attendance, skill tracking, staff access, and monthly fee records. Use of this service is governed by a separate agreement between GritPlay and the Academy Owner.
2. Student Portal: Students and their parents/guardians can register via WhatsApp OTP verification, view batch enrollment, attendance, and skill/performance records, and pay their monthly fee online.

GritPlay acts as a technology facilitator. We do not provide coaching services ourselves, and we do not employ, supervise, or control the coaches or staff of any Academy. The quality, safety, and conduct of in-person coaching sessions is solely the responsibility of the respective Academy.

V. Account Registration

Academy Owners and Coaches create an account to access the management dashboard. Students (or their parent/guardian) register on the Student Portal using their phone number, verified via a WhatsApp OTP, and a password of their choosing.

• You agree to provide accurate, complete, and current information during registration and to keep it updated.
• You are solely responsible for maintaining the confidentiality of your login credentials and the phone number registered to your account.
• Any activity conducted through your account is your sole responsibility, whether or not authorised by you.
• You must notify us immediately at admin@gritplay.com if you suspect any unauthorised access to your account.
• GritPlay reserves the right to suspend or terminate any account found to be in violation of these Terms, without prior notice.

VI. Academy Owner & Coach Responsibilities

By operating your academy on the Platform, you agree to:

• Provide accurate and up-to-date information about your batches, coaches, pricing, and schedules.
• Honour enrollments and deliver the coaching sessions students have paid for.
• Set a clear and fair fee refund/cancellation policy, which must be communicated to Students and parents before enrollment. Any disputes arising from your policy are your sole responsibility.
• Ensure your academy complies with all applicable laws, child-safety standards, coaching licensing requirements, and local regulations, particularly given that many Students are minors.
• Not use Student or parent contact information obtained through the Platform for any purpose other than academy operations and communication.

GritPlay is not responsible for disputes between Students/parents and Academies, including but not limited to disputes over coaching quality, session availability, facility conditions, or enrollment cancellations.

VII. Student & Parent Terms

• Registration requires verification of your phone number via a WhatsApp OTP. You are responsible for the accuracy of the name and phone number provided.
• Where the Student is a minor, the registering parent/guardian confirms they are authorised to act on the Student's behalf and to accept these Terms.
• Students are responsible for arriving on time and complying with the rules, code of conduct, and policies of their Academy during sessions.
• GritPlay is not responsible for any injury, loss, or damage occurring during in-person coaching sessions — this is between the Student/parent and the Academy.
• Monthly Fees, batch schedules, and skill/attendance tracking are determined and recorded by the Academy and its coaches; GritPlay only provides the software used to record and display them.

VIII. Payments & Monthly Fees

• All fee payments are processed securely through Cashfree, our authorised payment gateway. By completing a payment, you agree to Cashfree's terms and conditions.
• The amount displayed at checkout is the total amount charged to the Student/parent.
• A Processing Fee of approximately 3% of the amount paid per transaction is retained by Cashfree as a payment processing charge. This fee is:
  • Deducted from the amount collected — it is not an additional charge to the Student/parent.
  • Non-refundable under any circumstances, including cancellations initiated by the Student.
• Where an Academy supports split or partial fee payments, the Processing Fee applies to each transaction based on the amount paid in that transaction.
• You agree to provide accurate and valid payment information. GritPlay is not responsible for failed transactions due to incorrect payment details, insufficient funds, or issues with your bank or payment provider.
• GritPlay does not store your card details, UPI IDs, or other sensitive payment credentials.

IX. Cancellations & Refunds

a. Academy-Specific Refund Policy

Each Academy independently sets its own fee cancellation and refund terms for enrollment. By confirming enrollment and paying a Monthly Fee, the Student/parent agrees to that Academy's policy. GritPlay does not override, modify, or guarantee the terms set by any Academy.

b. Missed Sessions

Students who miss a scheduled session without prior notice to the Academy are not automatically entitled to any fee credit or refund; this is governed by the Academy's own policy.

c. Academy-Initiated Cancellations

If an Academy cancels a Student's enrollment or a Batch it has committed to, the Student is entitled to a refund of the net amount paid for the affected period (i.e., the amount paid minus the non-refundable Processing Fee), as arranged with the Academy.

d. Refund Processing

Approved refunds will be credited to the original payment method within 5–7 working days of the cancellation being confirmed.

e. Disputes

Refund-related disputes must be raised with us at admin@gritplay.com within 3 days of the relevant payment date.

X. Communications & Notifications

By registering on the Student Portal, you expressly consent to the following:

• GritPlay storing your (or your child's) name and phone number in its systems for enrollment records and operational purposes.
• GritPlay sending you transactional/utility messages via WhatsApp — including OTP verification codes (at registration, login, and password reset), fee/payment reminders, and other account-related updates necessary for the Service.

These transactional messages are not marketing and cannot be opted out of while continuing to use the Student Portal. Separately, at registration you may optionally opt in to receive promotional messages (offers, updates, and other non-essential communications) from GritPlay via WhatsApp; this is unchecked by default and does not affect your ability to use the Platform either way. You may withdraw promotional consent at any time by contacting admin@gritplay.com.

XI. Prohibited Conduct

When using the Platform, you agree not to:

• Provide false, misleading, or fraudulent information during registration or enrollment.
• Use a payment instrument that does not belong to you or that you are not authorised to use.
• Attempt to gain unauthorised access to any part of the Platform, other users' accounts, or our systems.
• Use bots, scrapers, crawlers, or any automated tools to access, copy, or extract data from the Platform without prior written consent from GritPlay.
• Reverse-engineer, decompile, or tamper with any part of the Platform's software or infrastructure.
• Impersonate any person, entity, or GritPlay employee.
• Engage in any activity that could damage, overload, or impair the Platform's functionality.
• Use the Platform for any purpose that is unlawful under applicable Indian laws.

GritPlay reserves the right to terminate access and pursue appropriate legal remedies for any violation of this section.

XII. Intellectual Property

All content on the Platform — including but not limited to text, design, graphics, logos, software, trademarks, and the GritPlay brand — is owned by or licensed to DELTRIX TECHNOLOGIES LLP.

You are granted a limited, non-exclusive, non-transferable, and revocable licence to use the Platform solely for its intended purpose. You may not reproduce, redistribute, sell, sublicense, modify, or create derivative works from any part of the Platform without prior written consent from GritPlay.

XIII. Disclaimers

• The Platform is provided on an "as-is" and "as-available" basis. GritPlay makes no warranties, express or implied, regarding the accuracy of batch listings, coach availability, or coaching outcomes.
• GritPlay is not responsible for the quality, safety, or conduct of in-person coaching sessions delivered by any Academy or Coach.
• We do not guarantee uninterrupted access to the Platform and may perform maintenance or updates at any time without prior notice.
• GritPlay does not endorse, certify, or vouch for any Academy, Coach, or their facilities.

XIV. Limitation of Liability

To the maximum extent permitted by applicable law, DELTRIX TECHNOLOGIES LLP shall not be liable for any indirect, incidental, special, punitive, or consequential damages — including loss of revenue, loss of data, or bodily injury — arising out of or in connection with your use of the Platform or any coaching session booked through it.

In all cases, GritPlay's total liability shall not exceed the net amount you paid for the specific fee payment in question (i.e., the amount paid minus the non-refundable Processing Fee).

XV. Indemnification

You agree to indemnify, defend, and hold harmless DELTRIX TECHNOLOGIES LLP, its partners, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, or expenses (including legal fees) arising out of or related to: (a) your use of the Platform; (b) your breach of these Terms; (c) your violation of any applicable law or third-party rights; or (d) any enrollment or payment made through your account.

XVI. Privacy

Your use of the Platform is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection, use, and storage of your personal data as described in that policy.

XVII. Amendments

GritPlay reserves the right to update or modify these Terms at any time. Changes will be posted on this page with a revised "Last Updated" date. Your continued use of the Platform after any such update constitutes your acceptance of the revised Terms. We recommend reviewing this page periodically.

XVIII. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India.

• For disputes arising out of or relating to a specific Academy, batch, or in-person coaching session, the courts in the city where the concerned Academy operates shall have jurisdiction.
• For disputes relating to GritPlay's platform services in general, the courts of Ahmedabad, Gujarat shall have exclusive jurisdiction.

Both parties agree to first attempt resolution through good-faith negotiation before initiating any formal legal proceedings.
